License Agreement

LICENSE AGREEMENT FOR THE USE
OF THE BELIZE COUNTRY BRAND

BETWEEN:

BELTRAIDE – with domicile in the city of Belmopan, hereinafter referred to as the "LICENSOR,"

AND:

The approved entity identified in the accompanying registration form, hereinafter referred to as the "LICENSEE."

WHEREAS

The Licensee has successfully completed the application and approval process for the Belize Country Brand license and accepts the terms and conditions of its use as set forth in this Agreement. By submitting the registration form, the Licensee acknowledges having read, understood, and agreed to be bound by the terms herein.

Therefore, the parties agree as follows:

CHAPTER I: GENERAL PROVISIONS

FIRST: PURPOSE OF THE AGREEMENT

This Agreement regulates the conditions for granting a non-exclusive, free-of-charge, time-limited license for the use of the Belize Country Brand trademark to the LICENSEE for application on authorized materials and for the purposes established by the Country Brand Committee.

SECOND: DEFINITIONS

For the purposes of this Agreement:

  • a) Belize Country Brand: A competitiveness tool registered by BELTRAIDE representing the country's image to promote tourism, culture, exports, and investment.
  • b) Belize Country Brand Seal: The isologotype created to visually represent the Belize Country Brand as specified in the Brand Guidelines.
  • c) License of Use: Formal authorization issued by BELTRAIDE allowing a natural or legal person to use the Belize Country Brand trademark.
  • d) Applicant: Any legal entity expressing interest in using the Country Brand through a formal request.
  • e) Licensee: Any legal entity that has met all requirements and has been granted the license.
  • f) Country Brand Committee: The unit responsible for administering, coordinating, supervising, and controlling the use of the Country Brand, and the body responsible for reviewing and deciding on license applications.
  • g) Brand Guidelines: The technical regulatory document establishing mandatory graphic and communication guidelines for the correct application of the Brand trademark.

CHAPTER II: THE LICENSE

THIRD: NATURE OF THE LICENSE

The license is:

  • a) Non-exclusive
  • b) Free of charge
  • c) Valid for two (2) years from the date of issuance
  • d) Renewable upon request and fulfillment of requirements

FOURTH: TERRITORIAL SCOPE AND TECHNICAL COVERAGE

The license may be used within Belize and abroad, provided that its application aligns with the objectives of positioning, promotion, and strengthening the country's image and complies with the Brand Guidelines.

Technical modalities include:

  • a) Institutional Use: Corporate communication materials such as stationery, reports, websites, social media, official presentations, facilities, signage, and similar materials.
  • b) Product Use: Labels, packaging, product catalogs, technical sheets, and printed or digital materials accompanying goods of national origin.
  • c) Event Use: Trade fairs, exhibitions, congresses, seminars, promotional events, stands, signage, merchandising, and institutional documents.
  • d) Advertising Use: National or international communication campaigns across print, audiovisual, digital, or other media, limited to authorized time periods.

CHAPTER III: THE BELIZE COUNTRY BRAND

FIFTH: OWNERSHIP

BELTRAIDE is the sole legal owner of the Country Brand. BELTRAIDE acts as administrator and licensor, and this Agreement does not transfer intellectual property ownership to the LICENSEE under any circumstances.

SIXTH: LICENSEE OBLIGATIONS

The Licensee shall:

  • a) Use the Seal strictly in accordance with the Brand Guidelines
  • b) Not alter, modify, or distort the trademark in any way
  • c) Apply the trademark only on approved materials and within approved contexts
  • d) Sign and submit the sworn declaration as required
  • e) Comply with all applicable legal, technical, fiscal, and commercial requirements
  • f) Promptly report any corporate, operational, or product changes to the Committee
  • g) Participate in official activities when requested by the Committee

SEVENTH: LICENSEE RIGHTS

The Licensee may:

  • a) Use the trademark under the terms established in this Agreement
  • b) Participate in official institutional or promotional activities associated with the Country Brand
  • c) Receive technical and graphic support from the Country Brand Committee

EIGHTH: PROHIBITIONS

The trademark may not be used in connection with:

  • a) Political or religious activities
  • b) Activities contrary to national legislation
  • c) Activities that are damaging to Belize's image or reputation
  • d) Government campaign slogans
  • e) Protest or advocacy events
  • f) Improper or non-harmonized graphic applications
  • g) Any other uses as determined by the Committee

CHAPTER IV: TERMINATION

NINTH: SUPERVISION, SUSPENSION, AND REVOCATION

The Country Brand Committee will supervise the proper use of the trademark at all times. The license may be:

  • Suspended: for misuse, non-compliance, failure to submit required materials, or issues that pose a reputational risk.
  • Revoked: for serious violations, repeated misuse, submission of falsified documents, or actions that damage the country's image.

TENTH: RENEWAL

Renewal must be requested no later than 45 days before the license expiration date and must be accompanied by updated documentation and a management report on brand usage during the license period.

ELEVENTH: NON-TRANSFERABILITY

This license is strictly non-transferable. Any intended transfer of rights requires execution of a new agreement and express approval by the Country Brand Committee.

TWELFTH: TERMINATION OF THE AGREEMENT

This Agreement terminates upon:

  • a) Expiration without renewal
  • b) Revocation by the Committee
  • c) Mutual written agreement of the parties

CHAPTER V: DISPUTE RESOLUTION

THIRTEENTH: JURISDICTION

Any disputes arising from this Agreement shall be submitted to the competent courts of Belize, in accordance with applicable national law.

AGREEMENT AND ACCEPTANCE

By submitting the registration form, the LICENSEE confirms that they have read and fully understood this Agreement and agree to be legally bound by all of its terms and conditions. This digital acceptance shall carry the same legal weight as a handwritten signature.
